供应链管理是维系公司正常运转的重要环节。中国神华视供应商为重要的合作伙伴，致力于构建互利共赢的供应链生态。中国神华严格遵循《国家能源集团供应商管理办法（试行）》《国家能源集团供应商绩效管理实施细则（试行）》《中国神华供应商环境、社会和公司治理管理办法（试行）》等制度，并持续完善供应商管理体系和行为准则。各子分公司制订《承包商管理办法》《承包商安全考核实施细则》等相关规定，对承包商和供应商的准入、选择、使用、评价和考核进行全过程管理，并对其诚信经营、商业道德遵守、环境保护责任等提出明确要求。
中国神华高度重视供应链商业道德与廉洁风险防控。在供应商准入环节，公司要求供应商通过国家能源集团统建平台申请注册，注册前须在线阅知“供应商权利和义务”“入网服务协议”“国家能源集团供应商失信行为处置管理公告”及投诉渠道，同时在线签署“供应商恪守商业道德协议书”。2025年，公司与所有供应商签署“供应商恪守商业道德协议书”，实现100%全覆盖。
中国神华建立了供应商反腐败合规验证与监督机制，通过在线承诺、准入审核、合同管理、履约监督及失信行为处置等方式，对供应商商业道德与廉洁履约情况进行全过程管理与动态监督。如供应商在采购或履约过程中存在商业贿赂等失信行为，将依据国家能源集团、中国神华相关规定，面临最高为期五年的“取消资格”处置。同时，公司定期对采购及关键岗位人员开展廉洁从业教育培训，并签署廉洁承诺书；在关键节假日前，组织供应商及外协单位开展集体廉洁谈话，持续强化供应链廉洁风险防控。
中国神华坚持公开、公平、透明的采购原则，采购信息均通过“国能e招”及“国能e购”平台公开发布，符合资质的供应商均可平等参与竞争。每项采购均依法签订合同，并严格按照合同约定及时办理结算与支付，切实保障供应商合法权益。公司已设立投诉与举报渠道，及时受理并处理供应商质疑和投诉，持续提升供应链管理透明度与合规管理水平。
Supply chain management is a critical component of the China Shenhua’s operations. China Shenhua regards its suppliers as important partners and is committed to building a mutually beneficial and sustainable supply chain ecosystem. The Company strictly complies with internal policies and procedures, including the Supplier Management Measures of China Energy Investment Corporation (for Trial Implementation), Implementation Rules for Supplier Performance Management of China Energy Investment Corporation (for Trial Implementation), and China Shenhua Energy Company Limited Supplier Environmental, Social and Governance (ESG) Management Measures (for Trial Implementation), while continuously improving its supplier management system and code of conduct. Subsidiaries and branches have also established relevant regulations, such as Contractor Management Measures and Implementation Rules for Contractor Safety Assessment, to manage contractors and suppliers throughout the entire lifecycle of engagement, including qualification, selection, utilization, evaluation, and performance assessment. These regulations also set clear expectations regarding business integrity, ethical conduct, and environmental responsibility.
China Shenhua places great importance on business ethics and integrity risk management throughout its supply chain. During the supplier onboarding and qualification procedures, all suppliers are required to register through the centralized supplier management platform established by China Energy Investment Corporation. Prior to registration, suppliers must review and acknowledge the Supplier Rights and Obligations, the Network Access Service Agreement, the Announcement on the Management of Supplier Misconduct by China Energy Investment Corporation, and available complaint and reporting channels, and are required to sign the Supplier Business Ethics Commitment Agreement online. In 2025, China Shenhua achieved 100% coverage of signed Supplier Business Ethics Commitments across its supplier base, and compliance with these commitments was verified as part of the supplier qualification and management process, reinforcing business ethics and integrity requirements into supplier management and contractual arrangements.
China Shenhua has established a supplier anti-corruption compliance verification and monitoring mechanism to oversee business ethics and integrity performance throughout the supplier lifecycle. Through measures including online integrity commitments, supplier qualification reviews, contract management, performance monitoring, and misconduct management, the Company conducts ongoing oversight of suppliers' compliance with ethical and anti-corruption requirements. Suppliers found to have engaged in misconduct, including bribery or other unethical practices during procurement or contract execution, may be subject to disciplinary actions in accordance with the regulations of China Energy Investment Corporation and China Shenhua, including disqualification from participation in procurement activities for up to five years.
In addition, the Company regularly provides integrity and anti-corruption training for procurement personnel and employees in key positions, who are also required to sign integrity commitments. Prior to major holidays, China Shenhua organizes collective integrity briefings with suppliers and contractors to reinforce ethical standards and continuously strengthen corruption risk prevention and control across the supply chain.
China Shenhua adheres to the principles of openness, fairness, and transparency in procurement. Procurement information is publicly disclosed through the “CHN Energy e-Bidding” and “CHN Energy e-Procurement” platforms, enabling all qualified suppliers to participate in fair competition. Contracts are signed in accordance with applicable laws and regulations for every procurement activity, and settlements and payments are processed in a timely manner in accordance with contractual terms, safeguarding suppliers’ legitimate rights and interests. The Company has also established complaint and reporting channels to promptly handle supplier inquiries, concerns, and grievances, thereby continuously enhancing supply chain transparency and compliance management.
